PROJECT ACCEPTANCE
At the time of proposal, Studio 357 Ltd will provide the Client with a detailed quotation. Upon acceptance of the quotation, Studio 357 Ltd will issue the Client with a Project Acceptance form which is to be signed and dated by the Client to indicate acceptance of the quote and should be returned to Studio 357 Ltd.

By signing the Project Acceptance form, the Client also agrees to comply fully with, and accepts all, the Terms and Conditions and forms a Contract for Business between the signatory and Studio 357 Ltd. Work on projects will not commence until Studio 357 Ltd has received the signed form, along with the non-refundable deposit.

All quotations are fixed for 28 days from the date of issue. Beyond that period, Studio 357 Ltd reserves the right to amend them.

DESIGN CHARGES
Charges for design services to be provided by Studio 357 Ltd will be set out in the detailed quotation that is provided to the Client. At the time of the Client's signed acceptance of this quotation via the Project Acceptance form, the Client indicates acceptance of all the Terms and Conditions, and agrees to pay a non-refundable deposit of fifty percent (50%) of the quoted fee to Studio 357 Ltd, which will become due immediately. Work on the project will not commence until Studio 357 Ltd has received the deposit. Following the completion of the services, fifty percent (50%) of the total charges shall be paid by the Client to Studio 357 Ltd.

THIRD-PARTY CONTRACTS
Studio 357 Ltd may contract with other creative professionals to provide services such as web development, photography, illustration, copywriting and printing. Studio 357 Ltd except no responsibility for any third parties Terms and Conditions and will not be held liable for any dispute regarding them. Any discrepancies should be taken up with the company providing the service(s) in question.

DESIGN PROJECT DURATION
Any indication given by Studio 357 Ltd of a design project's duration is to be considered by the Client to be an estimation. Studio 357 Ltd cannot be held responsible for any project over-runs, whatever the cause. Estimated project duration should be deemed to be from the date that the non-refundable deposit has been received by Studio 357 Ltd.

COPYRIGHTS & TRADEMARKS
By supplying text, images and other data to Studio 357 Ltd for inclusion in the Client's project, the Client declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the Client, or rightful copyright or trademark owner.

Any artwork, images, or text supplied and/or designed by Studio 357 Ltd on behalf of the Client, will remain the property of Studio 357 Ltd and/or it's suppliers, excluding logo design in which full copyright will be released to the Client upon receipt of full payment.

The Client may request in writing from Studio 357 Ltd, the necessary permission to use materials (for which Studio 357 Ltd holds the copyright) in forms other than for which it was originally supplied, and Studio 357 Ltd may, at it's discretion, grant this. Such permission must be obtained in writing before Studio 357 Ltd will allow any of the aforesaid artwork, images, text, or other data to be used. Studio 357 Ltd reserves the right to charge fees for additional usage.

By supplying images, text, or any other data to Studio 357 Ltd, the Client grants Studio 357 Ltd permission to use this material freely in the pursuit of the design and the right to feature the work for promotional purposes unless otherwise stated.

Should Studio 357 Ltd, or the Client supply an image, text, audio clip or any other file for use in print or web-based projects believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the Client will agree to allow Studio 357 Ltd to remove and/or replace the file.

The Client agrees to fully indemnify and hold Studio 357 Ltd free from harm in any and all claims resulting from the Client not having obtained all the required copyright, and/or any other necessary permissions.

ALTERATIONS
The Client agrees that changes requested over and above the quoted work or requested to be carried out after acceptance of the draft design, may be liable to a separate charge. The Client also agrees that Studio 357 Ltd holds no responsibility for any amendments made by any third-party, before or after a project is finalised.

LICENSING
Any design, copywriting, drawing, idea or code created for the Client by Studio 357 Ltd, or any of its contractors, is licensed for use by the Client on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of Studio 357 Ltd and any of its relevant sub-contractors.

All design work where there is a risk that another party may make a claim should be registered by the Client with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use.

Studio 357 Ltd will not be held responsible for any and all damages resulting from such claims. Studio 357 Ltd is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. The Client agrees not to hold Studio 357 Ltd responsible for any such loss or damage. Any claim against Studio 357 Ltd shall be limited to the relevant fee(s) paid by the Client.

DATA FORMATS
The Client agrees to Studio 357 Ltd’s definition of acceptable means of supplying data to the company.

Text is to be supplied to Studio 357 Ltd in electronic format as Microsoft Word (.doc) on CD-ROM, or via e-mail.

Images that are supplied in an electronic format are to be provided in a format as prescribed by Studio 357 Ltd via CD-ROM, or electronic data format. Images must be of a quality suitable for use without any subsequent image processing, Studio 357 Ltd will not be held responsible for any image quality, which the Client later deems to be unacceptable. Studio 357 Ltd cannot be held responsible for the quality of any images, which the Client wishes to be scanned from printed materials.

Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, media conversion or digital image processing.

RIGHTS OF REFUSAL
Studio 357 Ltd will not include in its designs any text, images or other data, which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities.

Studio 357 Ltd also reserves the right to refuse to include submitted material without giving reason.

In the situation where any images and/or data Studio 357 Ltd does include in all good faith, and subsequently discovers is in contravention to such Terms and Conditions, the Client is obliged to allow Studio 357 Ltd to remove the contravention without hindrance, or penalty. Studio 357 Ltd is to be held in no way responsible for any such data being included.

PROJECT CANCELLATION
Cancellation of orders may be made initially by telephone contact or e-mail, however, following this, Studio 357 Ltd will need formal notification in writing to the company's postal address if cancellation is requested via telephone.

The Client will then be invoiced for all work completed over and above the non-refundable deposit that will have been made at the time of first ordering. The balance of monies due must be paid within 7 days. Please note: any cancellation which is not formally confirmed in writing and received by Studio 357 Ltd within 7 days of such instruction being issued, will be liable for the full quoted cost of the project.

Any artwork produced prior to cancellation must be returned to Studio 357 Ltd and must not be used by the Client.

PROJECT SIGN-OFF
It is the responsibility of the Client to check proofs carefully for accuracy in all respects, ranging from spelling to technical illustrations.

Clients will be sent a Project Sign-off form, which will provide them with the opportunity to have corrections made free of charge before the project is deemed as complete/finished. Once the form has been signed, any further corrections required will be subject to an additional fee.

Studio 357 Ltd is not liable for any errors or omissions once the Project Sign-off form has been received. The Client's signature or that of their authorised representative is required on all artwork prior to release for printing or other implementation along with payment of outstanding project fee.

PAYMENT
Clients will be asked to complete a Project Sign-off form before being sent an invoice for the outstanding project fee. At this time, the remainder of the fees due will become payable. All invoices must be paid within seven (7) days.

Payments may be made by bank transfer, credit card, debit card or PayPal. Publication and/or release of work undertaken by Studio 357 Ltd on behalf of the Client may not take place before cleared funds have been received.

Studio 357 Ltd reserves the right to consider an account to be in default in the event of a returned cheque.

LATE PAYMENTS
Invoices that are not paid within seven (7) days will be liable for an 8.5% interest charge each day payment is overdue. Studio 357 Ltd shall be considered entitled to remove Studio 357 Ltd’s and/or the Client's material from any and all computer systems, until the amount due has been paid in full.

This includes any and all unpaid monies due for services, including, but not limited to printers, photographers and libraries.

Removal of such materials does not relieve the Client of its obligation to pay the due amount. Clients whose accounts become default agree to pay Studio 357 Ltd reasonable legal expenses and third-party collection agency fees in the enforcement of these Terms and Conditions.

DISCLAIMER
Studio 357 Ltd makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies. Studio 357 Ltd will not be held responsible for any and all damages resulting from products and/or services it supplies.

Studio 357 Ltd is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While Studio 357 Ltd take reasonable steps to investigate the materials we recommend, Studio 357 Ltd accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure.

The Client agrees not to hold Studio 357 Ltd responsible for any such loss or damage. Any claim against Studio 357 Ltd shall be limited to the relevant fee(s) paid by the Client.

Studio 357 Ltd reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage is bound by their Terms and Conditions. Studio 357 Ltd will not knowingly perform any actions to contravene these and the Client also agrees to be so bound.

Studio 357 Ltd and its Clients agree to comply with printers’ Terms and Conditions which include disclaimers for non-completion on time and the flexibility to supply quantities within 10% of the total ordered. Studio 357 Ltd recommend that if an exact quantity is required, then 10% extra is added to the quantity and extra time made available should the job be delayed.
